Terms of Service

1. Agreement

SONARmetrics is operated by SIXTHSENSE SRL, Romanian company registration number 48739467, registered in Cluj-Napoca, Romania. By creating an account, accepting an invitation, connecting a provider, or using SONARmetrics, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent. If a signed order form or separate agreement conflicts with these Terms, that agreement controls for the conflict.

2. Eligibility and authority

You must be legally capable of entering a binding agreement and authorized to act for each organization and external account you connect. You may not connect a store, advertising account, Page, warehouse, workspace, or server without permission from its owner.

3. Accounts and organizations

• Provide accurate information and keep authentication methods secure.
• Use individual user accounts; do not share passwords, access tokens, or MFA codes.
• Organization owners control membership, roles, connectors, settings, deletion, and business data.
• Notify security@sonarmetrics.io promptly of suspected unauthorized access.

4. Connected services

Connections to Shopify, WooCommerce, Meta, TikTok, Google, fulfillment providers, Slack, Discord, and other services are also governed by those providers’ terms and policies. You instruct SONARmetrics to access and process only the accounts and data you authorize to deliver the selected features. Providers may change APIs, permissions, limits, review status, or availability independently of us.

You are responsible for maintaining valid provider accounts and permissions, complying with each provider’s applicable platform terms, and ensuring that your use of provider data through SONARmetrics is lawful. You may disconnect a provider at any time; imported history is handled according to the choice shown in the disconnect dialog and our Data Deletion instructions.

5. Acceptable use

You must not:

• Use SONARmetrics unlawfully, deceptively, or to violate another person’s rights.
• Attempt to access another organization, bypass permissions, probe vulnerabilities without authorization, or interfere with service operation.
• Upload malware, secrets you are not authorized to provide, or content that is illegal or harmful.
• Use integrations to spam, harass, manipulate engagement, or take unauthorized actions on third-party platforms.
• Reverse engineer, resell, sublicense, scrape, or copy the service except where mandatory law expressly permits it.

6. Customer data and instructions

You retain ownership of data you provide or connect. You grant SONARmetrics the limited rights needed to host, transform, calculate, display, secure, back up, and otherwise process that data to operate the service and follow your authorized instructions. You are responsible for source-data accuracy, required notices and consents, and the legality of your instructions.

7. Analytics, forecasts, and AI

SONARmetrics reconciles data and produces operational calculations, estimates, forecasts, attributions, and AI-assisted explanations. Results depend on connected data, configuration, timing, exchange rates, assumptions, and provider availability. They are not accounting, tax, legal, investment, or financial advice and should be reviewed by qualified professionals before statutory filing or consequential decisions.

AI-generated content may be incomplete or incorrect. Users remain responsible for reviewing suggested explanations, replies, or actions before relying on them.

8. Fees

Fees, billing intervals, included usage, taxes, renewals, and cancellation terms are stated in the applicable order form or plan presented at purchase. Unless that agreement says otherwise, fees already incurred are non-refundable to the extent permitted by law.

9. Availability and changes

We aim to operate SONARmetrics reliably but do not guarantee uninterrupted or error-free service. Maintenance, security events, provider outages, rate limits, data corrections, and API changes can affect availability or cause calculated values to be restated. We may change features to improve security, accuracy, compliance, or provider compatibility.

10. Suspension and termination

You may disconnect providers or delete accounts and organizations as described on the Data Deletion page. We may restrict or suspend access when reasonably necessary to address security risks, unlawful use, material breach, non-payment, or provider requirements. Where practical, we will give notice and an opportunity to remedy.

11. Intellectual property

SONARmetrics and its software, design, documentation, trademarks, and service-generated technology are owned by us or our licensors. These Terms grant only a limited, non-exclusive, non-transferable right to use the service during the applicable subscription or authorized access period.

12. Disclaimers and liability

To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties not expressly stated in an applicable written agreement. Neither party is liable for indirect, incidental, special, punitive, or consequential damages, or loss of profit, revenue, goodwill, or data, except where such exclusion is prohibited. Any contractual liability cap in an order form controls; otherwise liability is limited to amounts paid for the service during the twelve months preceding the event giving rise to the claim, subject to mandatory law.

13. Governing terms

The governing law and forum identified in an applicable order form control. Where none is identified, Romanian law applies and the competent courts of Romania have jurisdiction, without limiting mandatory consumer, employment, privacy, or other rights that cannot lawfully be waived.
